Token Submission and Review: Projects wishing to launch their tokens via the IDO platform undergo a thorough review process. XPMarket evaluates projects based on their technical merits, compliance with applicable legal standards, and the robustness of their business model. This preliminary screening helps ensure that only viable and compliant projects make it to the funding stage.

Investor Participation: Investors interested in participating in IDOs can do so directly through the platform. All transactions are executed on the decentralized exchange, where participants exchange their funds for new tokens. The decentralised nature of the transaction means that at no point does XPMarket hold or control user funds. Participants maintain complete custody of their assets until they decide to trade.

Decentralised Nature of IDOs: The IDOs are structured to ensure complete decentralisation in terms of token distribution. XPMarket provides the platform and the tools necessary for the transactions but does not influence the outcome of the transactions, moreover these transactions can be placed and executed via any other UI build on the ledger. This structure ensures that the platform remains compliant with regulations by not offering guarantees or managing user assets.

Security and Compliance: Security is a paramount concern, especially during token launches. XPMarket employs state-of-the-art security measures. Compliance with legal standards is maintained through ongoing monitoring and adaptation to regulatory changes, ensuring that each IDO conforms to the latest legal requirements.

4.4.1.1 Decentralisation and User Autonomy

Importantly, XPMarket neither controls nor executes any blockchain transactions, nor does it hold custody of user funds. All transactional operations are executed within the confines of the XRPL's protocols, with XPMarket functioning purely as an interface. This arrangement ensures that users maintain absolute control over their digital assets and decision-making processes.

4.4.1.2 Global Outreach and Accessibility

Whilst headquartered in Panama, XPMarket is designed to serve an international audience, offering services that transcend geographical boundaries. The platform is committed to inclusivity, empowering users from diverse backgrounds to participate actively in the expanding crypto economy.

5 User Account Management

5.1.1 Account Creation and Verification

XPMarket simplifies account creation and verification by integrating directly with self-custody wallets, avoiding traditional registration methods. Users connect their blockchain wallets from supported providers to authenticate and establish their wallet address as a unique identifier on the platform. This process utilises blockchain technology for secure, decentralised verification without traditional ID documents. Operating non-custodially, XPMarket does not access or store users' private keys or passwords, ensuring security and user autonomy. This method enhances security, protects user privacy by limiting personal data collection, and allows immediate access to platform services upon wallet connection.

5.1.2 Account Responsibilities

Upon connecting their self-custody wallets to XPMarket, users accept full responsibility for managing and securing their accounts. This includes ensuring all transactions are legal, accurate, and comply with XPMarket's terms and conditions. Illicit or fraudulent activities may result in disconnection and legal consequences. Users must also keep their wallet credentials confidential, using strong, unique passwords, enabling two-factor authentication, and regularly updating security settings. In the case of a security breach or unauthorized account use, users must promptly notify XPMarket, though the platform is not liable for losses caused by compromised credentials or security negligence. By upholding these responsibilities, users help maintain a secure, compliant trading environment on XPMarket, protecting all participants' interests.

5.1.3 Security Measures

As XPMarket operates on a non-custodial model, the platform does not hold or manage users’ private keys, funds, or cryptocurrencies at any time. Users must implement their own security measures to protect their wallet credentials, including the use of secure passwords, two-factor authentication, and other relevant security practices recommended for digital wallet management. XPMarket strongly advises users to regularly review and enhance their security settings to protect against unauthorised access and potential security threats.

5.1.4 Account Suspension and Termination

Given the decentralized and non-custodial nature of XPMarket, the platform does not have the authority to suspend or terminate user wallets directly. However, XPMarket reserves the right to restrict access to its services from wallets engaged in activities that violate its Terms and Conditions, including, but not limited to, fraudulent activities, market manipulation, or any actions that compromise the integrity of the platform. In the event of such violations, XPMarket will prohibit the use of the implicated wallet to access the platform, denying further access to its services.

6 User Obligations

6.1.1 Legal Compliance

6.1.1.1 Adherence to Laws and Regulations

Users are obligated to comply with all applicable international, national, and local laws, regulations, and ordinances governing their use of XPMarket's services. This includes, but is not limited to, laws related to financial transactions, anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, data protection, and consumer protection.

6.1.1.2 Jurisdictional Restrictions

Users are responsible for ensuring their eligibility to use the Platform and for complying with any restrictions or prohibitions imposed by their jurisdiction on the use of cryptocurrencies or decentralised finance (DeFi) platforms. XPMarket reserves the right to restrict access to its services in certain jurisdictions if required by law.

6.1.2 Accurate Information

Users must provide accurate, current, and complete information during the sign in process and in all subsequent interactions with XPMarket. This includes, but is not limited to, personal details (where applicable), wallet addresses, and transaction information. Any misrepresentation or falsification of information may lead to account suspension, termination, or other legal action.

6.1.3 Prohibited Activities

Users must refrain from any activities that could harm the platform, other users, or contravene the terms of service. This includes engaging in fraudulent activities or transactions, participating in money laundering or financing terrorism, attempting unauthorized access to other users' accounts or data, manipulating market prices through tactics such as wash trading, and conducting any illegal activities such as trading prohibited substances or stolen goods.

XPMarket reserves the right to take appropriate actions against any user found to be involved in such prohibited activities. Actions may include suspending access to the platform, terminating the user’s account, and if necessary, reporting the activities to relevant authorities. Users are encouraged to report any suspicious activities or violations to help maintain a safe and compliant trading environment.

6.1.4 Reporting Violations

Users are encouraged to report any suspicious activity or suspected violations of these Terms and Conditions to XPMarket through the designated channels. By reporting such activities, users contribute to maintaining a safe and secure environment for all participants on the platform.

7 Risks and Liabilities

You acknowledge and accept that interacting with cryptocurrencies, fungible tokens, non-fungible tokens (NFTs), and blockchain technology on XPMarket involves various inherent risks. By engaging with our platform, you agree to undertake these risks knowingly and willingly in your financial and transactional activities.

7.1 Market Volatility and Asset Valuation

You acknowledge that the valuation of cryptocurrencies, fungible tokens, and non-fungible tokens (NFTs) accessible through XPMarket, which serves solely as a user interface to the XRP Ledger, is inherently subjective and prone to significant volatility. Economic factors, market demand, technological advancements, and changes in regulatory frameworks can all induce rapid and substantial fluctuations in asset prices. Such volatility can materially and adversely affect the value and liquidity of your digital assets.

While XPMarket facilitates access to market data and transaction capabilities, it does not directly list or control these assets. As a result, XPMarket does not guarantee the performance or continued value of any digital assets and disclaims any liability for losses incurred due to market volatility.

Furthermore, you understand that market dynamics and speculative trading can amplify price movements, increasing the potential for substantial financial losses. Given the platform's role as an interface only, it is crucial that you consider your financial circumstances and risk tolerance before engaging in transactions. You are advised to undertake thorough research and, where necessary, consult with financial experts to inform your investment decisions on XPMarket.

7.2 Technological and Operational Risks

You recognise that engaging with XPMarket, which functions solely as a user interface to the XRP Ledger, involves inherent technological and operational risks. The platform's reliance on blockchain technology means that any systemic failures, software bugs, or disruptions in the underlying ledger could adversely affect your ability to access or transact digital assets.

Given that XPMarket does not host or directly control the assets, its functionality is dependent on the performance and stability of the XRP Ledger. You accept that issues such as network slowdowns, unexpected maintenance, or failures within the ledger infrastructure can limit your access to the platform and your assets, potentially leading to delays or losses.

Additionally, the decentralized nature of blockchain systems, while offering advantages in security and transparency, also poses risks related to the finality of transactions and potential vulnerabilities in smart contracts. Transactions conducted via the XRP Ledger are irreversible once executed, meaning errors or unintended transactions cannot typically be rectified. Smart contracts, which govern various aspects of decentralized applications, may contain bugs or vulnerabilities that could be exploited, leading to financial losses.

Moreover, the evolving landscape of blockchain technology implies that new vulnerabilities may emerge, and regulatory changes could impact operational practices. You are therefore advised to remain vigilant, regularly updating your knowledge of the platform's operational environment and adjusting your usage strategies accordingly.

By using XPMarket, you acknowledge these technological and operational risks and agree to bear full responsibility for any consequences that arise from such risks during your interactions with the platform.

7.3 Limitation of Liability

7.3.1 Disclaimer of Liability

XPMarket operates solely as a user interface to the XRP Ledger and does not list, control, or manage the underlying digital assets. Consequently, XPMarket expressly disclaims all liability for any loss or damage that may arise from:

Platform Use: Your use of the Platform, including but not limited to any errors, inaccuracies, or omissions in the information provided on the Platform.

Blockchain Infrastructure: Errors, omissions, or disruptions in the underlying XRP Ledger infrastructure, including network congestion, forks, or any other technical issues.

Third-Party Services: Any third-party services integrated with XPMarket, including but not limited to wallets, oracles, or other DeFi protocols.

Transactions: Any transactions executed on the XRP Ledger, whether through the XPMarket interface or otherwise, including but not limited to errors in transaction execution, smart contracts or smart contract-like element vulnerabilities, or unauthorised access to your wallet.

Market Volatility: Fluctuations in the value of cryptocurrencies, fungible tokens, or non-fungible tokens (NFTs) traded on the XRP Ledger.

Force Majeure Events: Events beyond XPMarket's reasonable control, such as natural disasters, wars, or government actions

7.3.2 No Liability for Indirect or Consequential Damages

In no event shall XPMarket be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Platform or these Terms and Conditions.

7.4 Indemnification

As a user of XPMarket, you agree to indemnify, defend, and hold harmless XPMarket, its affiliates, officers, directors, employees, agents, licensors, and service providers from any claims, liabilities, expenses, or damages, including legal fees and costs, arising out of or related to your use of the platform, your breach of these terms and conditions, or your violation of the rights of any third party, including but not limited to, infringement of intellectual property rights, privacy rights, or negligent or wrongful conduct.

This indemnification obligation will cover all forms of legal actions, demands, or assertions that result from your activities on the platform, regardless of whether such actions arise during or after your use of XPMarket. You also agree to cooperate fully as reasonably required in the defence of any claim. XPMarket reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will still be responsible for indemnifying and holding XPMarket harmless and for reimbursing XPMarket for reasonable legal fees and expenses connected to such claims.

7.5 Third-Party Dependencies

XPMarket utilises various third-party services to enhance the functionality and user experience of the platform. These services may include, but are not limited to, payment processors, data analytics providers, and wallet integration providers. While XPMarket strives to select reputable and reliable third-party service providers, we do not control and are not responsible for their actions or omissions.

You acknowledge and agree that XPMarket shall not be liable for any loss or damage arising from your use of or reliance on any third-party services. You are solely responsible for reviewing and understanding the terms and conditions of any third-party services you use in connection with the Platform.

7.6 Legal and Tax Responsibilities

As a user of XPMarket, which operates solely as a user interface to the XRP Ledger and does not list assets, you are responsible for ensuring all transactions comply with relevant laws and tax obligations in your jurisdiction. This includes accurately declaring and remitting all applicable taxes related to transactions involving cryptocurrencies and tokens accessed through XPMarket. Since XPMarket does not provide tax advice or perform tax calculations, consulting a qualified tax professional is recommended to ensure compliance.

Additionally, you must stay informed and adapt to evolving regulatory changes affecting blockchain technology and digital assets, as failure to comply can result in legal penalties. By using XPMarket, you acknowledge your responsibility for lawful platform use, adherence to all tax regulations, and agree to indemnify XPMarket against any legal claims or disputes stemming from non-compliance.

8 Intellectual Property Rights

8.1 Ownership of Content and Services

XPMarket asserts full ownership over the content, technology, and services provided on its platform, except where explicitly stated otherwise. This includes, but is not limited to, software, user interface designs, text, images, logos, and other materials published on XPMarket. All such content is protected by copyright, trademarks, patents, and other intellectual property laws worldwide.

As a user of XPMarket, you acknowledge that any unauthorised use of such materials without prior written permission from XPMarket constitutes a breach of our intellectual property rights and may result in legal action.

8.2 Restrictions on Use

Users of XPMarket are granted a limited, non-exclusive, non-transferable license to access and use the platform and its content solely for legitimate purposes as outlined in these Terms and Conditions. This license is subject to the following restrictions:

  • Users may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any way or by any means any part of the Platform or its content without express written permission from XPMarket.
  • Users are prohibited from using any data mining, robots, or similar data gathering or extraction tools on the Platform's content.
  • Users may not frame any portion of XPMarket's content within another website or service.

XPMarket reserves the right to terminate a user's access to the Platform if these restrictions are violated.

8.3 Third-Party Content

XPMarket may include or provide links to content owned or operated by third parties, including articles, data feeds, and abstracts. XPMarket does not control, endorse, or assume any responsibility for such third-party content, and makes no guarantees about the accuracy, copyright compliance, legality, or decency of the material contained therein.

Users are encouraged to be aware when they leave XPMarket and to read the terms and conditions and privacy policies of any third-party websites or services they access.

9 Privacy and Data Protection

9.1 Data Collection and Use

XPMarket, as a Web3 platform, is committed to safeguarding the privacy of its users. We do not collect personally identifiable information (PII) via traditional registration methods. Access to our services is granted through self-custody wallets, obviating the need for users to submit personal identification details.

The data collected is limited to that which is essential for the operation of the platform and the provision of services. This may include:

  • Public Blockchain Information: This includes data that is inherently public on the XRP Ledger, such as wallet addresses, transaction hashes, and interaction data with platform features, utilised solely for facilitating and validating transactions and enhancing service functionality.
  • Technical Information: We may collect technical information about your device, including your IP address, operating system, browser type, and device identifiers. This information is used for troubleshooting, analytics, and to ensure the security and functionality of the platform.

XPMarket adheres to a strict policy of data minimisation and only collects data that is necessary for the legitimate purposes outlined in this section.

9.2 Data Minimisation and Purpose Limitation

XPMarket adheres strictly to the principle of data minimisation, ensuring that the collection of personal data is limited to what is directly relevant and necessary to accomplish specified purposes. This principle is integral to our data governance strategy, which aims to enhance privacy and increase the efficiency of our data management.

9.2.1 Data Minimisation

We collect and process only the personal data that is adequate, relevant, and necessary for the following purposes:

  • Providing and improving our services: This includes facilitating transactions on the XRP Ledger, enhancing user experience, and developing new features. This may include wallet addresses, transaction hashes, and interaction data with the Platform's features.
  • Communication: With your consent, we may use your contact information (e.g., email address, social media channels) to provide service-related notifications, updates, and marketing communications.
  • Legal Compliance: In certain cases, we may process your data to fulfil legal obligations, such as anti-money laundering (AML) and know-your-customer (KYC) regulations, if and when applicable.
  • To ensure data minimisation, we:
  • Limit the collection of personal data to what is strictly necessary for the stated purposes.
  • Implement robust technical and organisational measures to restrict access to personal data, ensuring that only authorised personnel can access it on a need-to-know basis.
  • Regularly reviewing our data collection practices to ensure they remain aligned with our stated purposes.

9.2.2 Purpose Limitation

We process personal data exclusively for the purposes specified at the time of collection or for purposes compatible with the original purposes. If we intend to process your personal data for a new purpose that is not compatible with the original purpose, we will:

  • Provide you with clear and transparent information about the new purpose.
  • Obtain your consent before commencing any such processing, where required by law.

9.3 Security of Personal Information

XPMarket operates solely as a user interface to the XRP Ledger and does not store, process, or have access to users' private keys or PII. The onus of securing personal information and assets rests entirely with the users. Users are advised to:

  • Maintain the confidentiality of their private keys and never share them with anyone.
  • Employ robust security measures for storing private keys, such as hardware wallets or encrypted wallet applications.
  • Access XPMarket only through secure, private internet connections, avoiding public Wi-Fi networks.
  • Keep wallet software and related applications up-to-date with the latest security patches.
  • Enable multi-factor authentication on their wallets, if available
  • While XPMarket, as a UI provider, does not implement specific security measures beyond those inherent to the XRP Ledger, we actively promote best security practices and encourage users to be vigilant in protecting their digital assets.

9.4 Third-Party Data Sharing

Data sharing with third parties is conducted strictly where necessary for the provision of platform services, compliance with regulatory requirements, or with explicit user consent. All third-party service providers engaged by XPMarket are bound by contractual obligations to ensure an equivalent level of data protection and confidentiality, as follows:

Service Providers: We engage various service providers to perform functions and provide services to us, including hosting and maintenance, error monitoring, debugging, performance monitoring, billing, customer relationship, database storage and management, and direct marketing campaigns. We will share your data with these service providers, but only to the extent necessary to perform these functions and provide such services.

Legal Compliance: We may disclose personally identifiable information at the request of governmental authorities conducting an investigation, to verify or enforce compliance with the policies governing our Services and applicable laws, or to protect against misuse or unauthorised use of our Services.

9.5 Changes to Privacy Practices

If we make changes to our privacy practices, we will provide notice of these changes by updating the 'Last Updated' date at the top of the Privacy Policy and, in some cases, may provide additional notice (such as adding a statement to the homepage of our services or sending you a notification). We encourage you to review the Privacy Policy whenever you access the Services to stay informed about our information practices and the ways you can help protect your privacy.

10 Fees and Payments

XPMarket, as a user interface facilitating interaction with the XRP Ledger, does not directly charge fees for its basic access and usage. However, users should be aware of the following:

Network Fees: Transactions on the XRP Ledger, like any blockchain network, incur network fees. These fees are paid to the network validators for processing transactions and are not collected by XPMarket. Users are solely responsible for these network fees, which vary depending on network congestion and transaction complexity.

Additional Service Fees: XPMarket may offer additional services or features beyond basic access to the XRP Ledger. These services may be subject to fees, which will be clearly communicated to the user before any charges are incurred. The fee structure for these services will be transparently outlined, allowing users to make informed decisions about utilizing them.

Payment Methods: Payments for any XPMarket-related service fees will be facilitated through the platform using accepted cryptocurrencies or other specified payment methods. Users are responsible for ensuring their wallets have sufficient funds to cover all anticipated charges, including both network fees and any applicable XPMarket service fees.

No-Refund Policy: Due to the immutable and irreversible nature of blockchain transactions, all payments made for network fees and any XPMarket service fees are final and non-refundable. This includes situations where a user may have mistakenly sent funds or made an incorrect transaction. XPMarket strongly encourages users to carefully review all transaction details, including associated fees, before executing any transactions on the XRP Ledger through the platform.

Understanding Fee Structures: XPMarket recommends that all users thoroughly review and understand the fee structures associated with their transactions and any additional services they choose to use on the platform. This proactive approach will help users manage their costs and ensure a smooth experience on XPMarket.

By using XPMarket, you acknowledge and accept this no-refund policy and agree to be responsible for all transaction fees incurred, both on the XRP Ledger network and for any optional services provided by XPMarket.

11 Changes to Services

XPMarket reserves the right to modify the platform, including updates, enhancements, or alterations, at any time. These changes are integral to our commitment to improving user experience and integrating advanced functionalities in response to technological evolution and user feedback. Users will be informed of significant alterations that might affect their interaction with the platform via updates on our website or through direct communications.

Temporary disruptions to services may occur as a result of these updates, maintenance operations, or unforeseen technical issues. XPMarket endeavours to minimise any inconvenience during these periods by scheduling maintenance during times of low user activity and providing advance notice whenever feasible. Users are encouraged to consult our official communication channels for updates on service availability and scheduled maintenance.

In the event that a specific service is to be discontinued permanently, XPMarket will provide users with advance notification to allow for adequate preparation and adjustment. This cessation will be communicated clearly through the same channels, and guidance will be offered on transitioning away from the discontinued service to ensure minimal disruption to user activities.

XPMarket is committed to maintaining transparency with users regarding any changes to services, recognising that such changes can impact how users engage with the platform. We are dedicated to providing timely and precise information to assist users in managing changes effectively, safeguarding their assets, and continuing to use our services with confidence.

12 Termination of Use

12.1 User-Initiated Termination

Users of XPMarket have the right to discontinue using the platform at any time and for any reason. To terminate their use, users simply need to cease all activities on the platform and disconnect their self-custody wallets. Given XPMarket's nature as a user interface to the XRP Ledger, no formal deactivation process is required from our end. However, users should ensure that all pending transactions are completed or duly cancelled before discontinuation to avoid any complication.

12.2 Company-Initiated Termination

XPMarket reserves the right, at its sole discretion and without prior notice, to suspend or terminate your access to the Platform, or any part thereof, for any reason whatsoever. Such reasons may include, but are not limited to:

Breach of these Terms and Conditions: Any violation of the terms outlined herein may result in immediate termination of your access to the Platform.

Harmful or Disruptive Activities: Engaging in activities that may harm, disrupt, or impair the Platform, its functionality, or the experience of other users.

Fraudulent or Illegal Activities: Any involvement in fraudulent, deceptive, or illegal activities while using the Platform.

Non-Compliance: Failure to comply with applicable laws, regulations, or requests from relevant authorities..

12.3. Effects of Termination

Upon termination of use, whether initiated by the user or by XPMarket, all permissions and rights granted to the user under these Terms and Conditions shall immediately cease. The user will no longer have access to any services offered by the platform.

It is important to note that due to the immutable nature of blockchain transactions, any transactions in process at the time of termination will typically proceed to completion and cannot be reversed. Users are strongly advised to resolve any outstanding issues or complete necessary transactions prior to initiating termination to ensure a smooth transition and avoid potential complications.

Furthermore, XPMarket may retain certain user data as required by law or for legitimate business purposes, as outlined in our Privacy Policy. However, the user's right to access and use the platform will be irrevocably revoked.

XPMarket shall not be held liable for any loss, damage, or inconvenience arising from the termination of a user's access to the platform, regardless of whether the termination is initiated by the user or by XPMarket.

13.3 Mediation:

If the dispute cannot be resolved through informal dispute resolution, both parties shall have the option to engage in mediation. This shall be facilitated online through an independent mediator, to provide a cost-effective and less formal means of reaching a mutually agreeable resolution. Detailed procedures for initiating mediation, along with contact information for the mediation provider, shall be made available upon request by our customer support team.

13.5 Governing Law:

These Terms and Conditions and any disputes arising from or related to your use of XPMarket are governed by and construed in accordance with the laws of the Republic of Panama, without regard to conflict of laws principles. All legal actions, litigation, or arbitration required to resolve disputes will be conducted exclusively in Panama, unless otherwise mutually agreed upon.

14 Miscellaneous

14.1 Severability

If any provision of these Terms and Conditions is found by a court or other binding authority to be invalid, illegal, or unenforceable, that provision shall be severed from these Terms and Conditions to the minimum extent necessary. The remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.

14.2 Waiver

No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision. The failure of XPMarket to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

14.3 Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other documents incorporated by reference herein, constitute the entire agreement between you and XPMarket concerning the use of the platform. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and XPMarket with respect to the platform.
